Terms of Service
These terms set out the rules for using the Stackdbase website and the services we offer through it. They're written to be clear and fair — please read them, because using the site means you agree to them.

Acceptance of these terms
By accessing or using stackdbase.com (the "Site") or any service we provide through it, you agree to be bound by these Terms of Service and by our Privacy Policy. If you don't agree, please don't use the Site. If you're using the Site on behalf of a company, you confirm you're authorised to accept these terms for that company.
Who we are
Stackdbase ("Stackdbase", "we", "us", or "our") is a digital studio that designs and builds websites, headless and Shopify storefronts, and custom software. The Site is where you can learn about our work, read our writing, and get in touch to start a project.
Our services and proposals
The content on this Site — including case studies, pricing guidance, and service descriptions — is for general information and does not constitute a binding offer. Any project we take on is governed by a separate written proposal, statement of work, or agreement ("Project Agreement") that sets out the specific scope, deliverables, timeline, and fees. If anything in a signed Project Agreement conflicts with these terms, the Project Agreement controls for that engagement.
Using the Site
You agree to use the Site lawfully and responsibly. You will not:
- Break any applicable law or regulation, or infringe anyone's rights;
- Upload or transmit malware, or attempt to gain unauthorised access to the Site, its servers, or connected systems;
- Scrape, harvest, or systematically extract data from the Site without our permission;
- Interfere with or disrupt the Site's operation, security, or availability;
- Impersonate any person, or misrepresent your affiliation with any person or organisation;
- Use the Site to send unsolicited or deceptive communications, or for any fraudulent purpose.
Intellectual property
The Site and its contents — including text, design, graphics, logos, code, and the Stackdbase name and marks — are owned by us or our licensors and are protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable licence to view and use the Site for its intended purpose. You may not copy, reproduce, distribute, or create derivative works from the Site without our prior written consent.
Ownership of work we create for a client — and any licence to pre-existing or third-party materials within it — is addressed in the applicable Project Agreement, not here.
Submissions and feedback
When you send us a brief, message, or other information through the Site, you confirm you have the right to share it and that it's accurate. If you send us ideas, suggestions, or feedback about our work, you grant us a perpetual, royalty-free right to use them to improve our services, without any obligation to you. Please don't send us confidential information through the Site's forms — use a signed agreement for anything sensitive.
Fees and payment
Fees for any engagement are set out in the applicable Project Agreement and are payable on the terms stated there. Unless that agreement says otherwise, fees are exclusive of applicable taxes, and payments already made are non-refundable to the extent work has been performed. Late payments may pause work and accrue interest where permitted by law. Payments, if collected online, are handled by our third-party payment processors under their own terms.
Third-party services and links
The Site and our work may rely on or link to third-party platforms and services (for example hosting, Shopify, analytics, or payment providers). We don't control those third parties and aren't responsible for their content, availability, or practices. Your use of them is governed by their own terms and policies.
Disclaimer of warranties
The Site is provided on an "as is" and "as available" basis. To the fullest extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We don't warrant that the Site will be uninterrupted, error-free, or secure, or that any information on it is complete or current. Nothing here limits warranties that cannot be excluded under applicable law, or any separate warranty given in a Project Agreement.
Limitation of liability
To the fullest extent permitted by law, Stackdbase and its team will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising from your use of the Site. Our total liability relating to the Site will not exceed one hundred U.S. dollars (USD $100). Liability arising from a specific engagement is governed by the cap set in the applicable Project Agreement.
Indemnification
You agree to indemnify and hold Stackdbase harmless from any claims, losses, liabilities, and expenses (including reasonable legal fees) arising out of your misuse of the Site, your breach of these terms, or your violation of any law or the rights of a third party.
Termination
We may suspend or terminate your access to the Site at any time, with or without notice, if you breach these terms or misuse the Site. The sections that by their nature should survive termination — including intellectual property, disclaimers, limitation of liability, indemnification, and governing law — will continue to apply.
Governing law and disputes
These terms are governed by the laws applicable at Stackdbase's principal place of business, without regard to conflict-of-law rules. You agree that any dispute relating to the Site will be resolved in the courts of that jurisdiction, and that any claim must be brought within one year after it arises. Where a Project Agreement specifies its own governing law and dispute process, that governs the engagement.
Changes to these terms
We may update these terms from time to time. When we do, we'll revise the "Effective" date above and, for material changes, provide more prominent notice. Your continued use of the Site after an update means you accept the revised terms.
General
These terms, together with the Privacy Policy and any Project Agreement, are the entire agreement between you and Stackdbase regarding the Site. If any provision is found unenforceable, the rest stays in effect. Our failure to enforce a provision isn't a waiver of it. You may not assign these terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets.
